These Terms of Service ("Terms") govern your use of TechnicalGuider's website (https://technicalguider.com) and services. By accessing or using our services, you agree to be bound by these Terms.

If you do not agree, do not use our services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our services. By using our services, you represent that you meet these requirements.

2. Description of Services

TechnicalGuider provides:

• AI automation software and custom CRM development
• WhatsApp AI agents and conversational automation
• Lead generation and marketing automation tools
• Google Ads and Meta Ads management
• SaaS products including TG Revenue Engine, Stock Up, and related platforms
• Consultation, training, and managed services

Services may evolve over time. We reserve the right to modify, add, or discontinue features.

3. Account Registration

To access certain services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your credentials
• Notify us immediately of unauthorized access
• Accept responsibility for all activity on your account

We may suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree NOT to:

• Use our services for illegal, fraudulent, or harmful purposes
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to reverse-engineer, decompile, or hack our systems
• Scrape, harvest, or extract data without permission
• Resell or sublicense our services without written consent
• Use our services to send spam or unsolicited communications
• Impersonate any person or entity

Violation may result in immediate termination and legal action.

5. Intellectual Property

All content, software, designs, trademarks, and materials on our website and within our services are owned by TechnicalGuider or our licensors and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use our services as intended. Custom work delivered to you remains licensed to you per the project agreement.

6. Fees and Payment

• All prices are in Indian Rupees (INR) unless otherwise stated
• Subscription fees are billed in advance (monthly or annually)
• Custom project fees are billed per the project agreement
• Late payments may incur interest at 1.5% per month
• We use Razorpay for payment processing — Razorpay's terms also apply
• All taxes (GST, etc.) are additional unless stated

7. Refunds and Cancellations

Refund terms are governed by our Refund Policy. In summary:

• SaaS subscriptions: 7-day money-back guarantee on first payment
• Custom development: Non-refundable once work begins
• Marketing services (Google Ads, Meta Ads management): Non-refundable
• Consultations: Non-refundable once scheduled

8. Service Availability

We strive for 99.5% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance, security updates, or feature deployments that temporarily affect availability. We are not liable for downtime caused by third-party providers (hosting, APIs, payment gateways).

9. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee specific business results. Performance varies based on factors outside our control (ad platform algorithms, market conditions, your team's execution).

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHNICALGUIDER'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OUR SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

11. Indemnification

You agree to indemnify and hold harmless TechnicalGuider, its founders, employees, and partners from any claims, damages, or expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

We may terminate or suspend your access immediately, without prior notice, for any reason — particularly for breach of these Terms.

Upon termination, your right to use our services ceases. Provisions that by nature should survive termination (intellectual property, indemnification, limitation of liability, dispute resolution) will survive.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts in Delhi, India.

14. Dispute Resolution

Before initiating legal action, parties agree to attempt informal resolution by emailing hello@technicalguider.com. If unresolved within 30 days, disputes may be submitted to arbitration under the Arbitration and Conciliation Act, 1996, with arbitration seated in Delhi.

15. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control: natural disasters, government actions, pandemics, internet outages, third-party service failures, or cyber attacks.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

17. Entire Agreement

These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and TechnicalGuider regarding your use of our services.

18. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or website notice. Continued use after changes constitutes acceptance.
